Another day, anther proposed debt placing for XPO Logistics… please find below the latest release broadly distributed and issued earlier today. Last month, its previous funding round received a strong response from the market (more here and here).

GREENWICH, Conn., May 21, 2020 (GLOBE NEWSWIRE) — XPO Logistics, Inc. (“XPO” or the “Company”) (NYSE:  XPO) today announced that it intends to offer a private placement of 6.250% senior notes due 2025 (the “notes”) with an aggregate principal amount of $300 million. The notes will be issued as an add-on to the Company’s existing 6.250% senior notes issued in April 2020. The Company intends to use the net proceeds from the issuance of the notes for general corporate purposes, which may include the repayment of amounts outstanding under its existing revolving credit facility, the partial redemption of its 6.50% Senior Notes due 2022 and/or the repayment of other existing indebtedness.

The notes will be offered only to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”) and outside the United States, only to non-U.S. investors pursuant to Regulation S. The notes will not be registered under the Securities Act or any state securities laws and may not be offered or sold in the United States absent an effective registration statement or an applicable exemption from registration requirements or a transaction not subject to the registration requirements of the Securities Act or any state securities laws.
